These Terms of Service ("Terms") form a binding agreement between you and HeliconTrade Ltd. ("HeliconTrade", "we", "us") governing your access to and use of helicontrade.com and the HeliconTrade product (collectively, the "Service"). By creating an account, subscribing to a paid plan, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and our Risk Disclosure. If you do not agree, do not use the Service.
Acceptance and scope
These Terms apply to every visitor and registered user of the Service. Where you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to both you and that organisation. Additional product-specific or plan-specific terms — for example an order form, a beta-program addendum, or an enterprise agreement — may apply and will prevail over these Terms to the extent of any conflict in respect of the matter they address.
The Service and what it is not
HeliconTrade is an AI-powered market-intelligence and analytics tool delivered as a subscription software service. It allows you to describe strategies in natural language, run scans on third-party market data, configure watch logic, and receive alerts when conditions you define are met. The Service is informational only. HeliconTrade is not a broker-dealer, investment adviser, financial adviser, portfolio manager, or fiduciary; it does not execute orders, does not custody assets or funds, and does not provide personalised investment, legal, tax, or accounting advice. Every trading decision is yours alone. Please read the Risk Disclosure carefully before relying on any Service output.
Eligibility and your account
To use the Service you must be at least eighteen years old (or the age of majority in your jurisdiction, if higher) and legally able to enter into a binding contract. You agree to provide accurate, current, and complete information at registration and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity occurring under your account. Notify us promptly at [email protected] of any unauthorised access. We may refuse, suspend, or close any account where eligibility cannot be verified or these Terms are breached.
Acceptable use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You will not: (a) violate any applicable law or regulation, including securities, market-abuse, sanctions, anti-money-laundering, export-control, or data-protection laws; (b) use the Service to manipulate markets or to disseminate false or misleading information; (c) reverse-engineer, decompile, or attempt to derive the source code or model weights underlying the Service except to the extent permitted by mandatory law; (d) scrape, harvest, or systematically extract data from the Service beyond ordinary product use; (e) resell, sublicense, or rebrand the Service or its outputs as your own signals or advisory product; (f) interfere with or disrupt the integrity, security, or performance of the Service; or (g) use the Service to develop a competing product. We may investigate and act on suspected violations, including by suspending access.
Fees, subscriptions, refunds, and cancellation
Pricing and plan features are described on the Pricing page and in any applicable order form. Paid subscriptions are billed in advance on a recurring basis and automatically renew at the end of each billing period until cancelled. You may cancel at any time from your account settings; cancellation stops future renewals, and paid access continues until the end of the current billing period. First-time paid subscribers may request a full refund within thirty days of the initial charge by contacting [email protected]. Free plans and trial periods may be modified or discontinued on reasonable notice. Applicable taxes are added where required by law.
Intellectual property
The Service, including its software, models, interfaces, content, trademarks, and brand assets, is owned by HeliconTrade or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal personal or business purposes. You retain ownership of the content you submit to the Service ("User Content"); you grant us a worldwide, royalty-free licence to host, process, and display User Content solely to operate and improve the Service in accordance with the Privacy Policy. If you choose to provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction.
Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that any Service output will be error-free, complete, timely, profitable, or suitable for your circumstances. To the maximum extent permitted by law, HeliconTrade and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or trading losses, however arising. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (i) the fees you paid us in the twelve months preceding the event giving rise to the claim, or (ii) one hundred United States dollars. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
Suspension and termination
You may stop using the Service and close your account at any time from settings. We may suspend or terminate your access, with or without notice, if you breach these Terms, if continued provision would expose us to legal or security risk, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination — including those relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will continue to apply. We will handle any remaining User Content in accordance with the Privacy Policy.
Changes to the Service and these Terms
We continually develop the Service and may add, modify, or discontinue features at any time. We may also update these Terms from time to time. Where changes are material, we will provide reasonable advance notice in-product or by email and indicate the new effective date at the top of this page. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept a change, your sole remedy is to stop using the Service and cancel any paid subscription, in which case unused prepaid fees for the affected period will be refunded on a pro-rata basis where required by law.
Governing law, disputes, and contact
These Terms are governed by the laws of the jurisdiction in which HeliconTrade Ltd. is registered, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the competent courts of that jurisdiction for the resolution of any dispute, subject to any mandatory consumer-protection rules of your country of residence that grant you additional rights. Before commencing formal proceedings, the parties will attempt in good faith to resolve any dispute by negotiation for at least thirty days. These Terms, together with the documents they reference, constitute the entire agreement between you and HeliconTrade in relation to the Service.
